1. Acceptance of Terms

Welcome to Traq Money. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Traq Money ("Company," "we," "us," or "our") governing your access to and use of the Traq Money website located at https://traq.money and our budget management platform services (collectively, the "Service").

By accessing or using our Service, including joining our waitlist, creating an account, or using any features of our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you as an individual and that organization.

2. Service Description

Traq Money is a cloud-based Software-as-a-Service (SaaS) platform designed for budget management and expense control. Our Service is intended for startups, small-to-medium businesses (SMBs), and distributed project teams working internationally.

2.1 Core Features

The Service includes, but is not limited to:

• Budget Planning: Create and manage budgets with breakdown by periods and categories
• Expense Tracking: Record, categorize, and monitor expenses in real-time
• Multi-Currency Support: Support for 10 currencies (USD, EUR, GBP, RUB, CNY, JPY, CHF, CAD, AUD, INR) with automatic conversion
• Approval Workflow: Built-in expense approval process with status tracking
• Team Collaboration: Role-based access control (RBAC) with four permission levels
• Reporting: Real-time dashboards and financial reports

2.2 Current Status

As of the date of these Terms, Traq Money is in the pre-launch phase. We are currently accepting waitlist registrations for early access. During this phase, certain features described above may not yet be available or may be modified before public launch.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use our Service, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal capacity and authority to enter into these Terms
• Not be prohibited from using the Service under any applicable laws
• Provide accurate and complete registration information

3.2 Account Registration

To access certain features of the Service, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.3 Account Types

Different user roles have different permissions within an organization:

• Owner: Full administrative access, including billing and user management
• Accountant: Financial management and approval capabilities
• Manager: Budget and expense management for assigned areas
• Observer: View-only access to designated information

4. User Responsibilities

As a user of our Service, you are responsible for:

• Data Accuracy: Ensuring all financial data, budgets, and expense information you enter is accurate and complete
• Account Security: Maintaining the confidentiality of your account credentials and notifying us immediately of any unauthorized use
• Compliance: Using the Service in compliance with all applicable laws, regulations, and these Terms
• Team Management: If you are an organization owner or administrator, managing user access and permissions appropriately
• Data Backup: Maintaining your own backup copies of critical financial data, although we provide regular backups

5. Acceptable Use Policy

You agree not to use the Service to:

5.1 Prohibited Activities

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading activities
• Money laundering, terrorist financing, or other financial crimes
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use automated means (bots, scrapers, etc.) to access the Service without our permission
• Resell, sublicense, or provide the Service to third parties without authorization
• Use the Service in any manner that could harm minors

5.2 Content Restrictions

You may not upload, transmit, or store content that:

• Is illegal, harmful, threatening, abusive, or defamatory
• Infringes on intellectual property rights of others
• Contains personal data of others without their consent
• Constitutes unsolicited commercial communications (spam)

5.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, graphics, logos, and trademarks ("Traq Money IP"), are owned by Traq Money and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Traq Money name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Traq Money. You may not use such marks without our prior written permission.

6.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

6.3 Restrictions

You may not:

• Copy, modify, or create derivative works based on the Service or Traq Money IP
• Sell, resell, license, sublicense, distribute, rent, or lease the Service
• Use the Service to build a competing product or service
• Remove, alter, or obscure any proprietary notices on the Service

6.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

7. User Content and Data

7.1 Ownership of Your Data

You retain all ownership rights to the data, information, and content you submit, upload, or input into the Service ("User Data"). We do not claim any ownership rights over your User Data.

7.2 License to User Data

By using the Service, you grant us a limited license to access, use, process, and display your User Data solely to:

• Provide and maintain the Service
• Improve and develop new features
• Generate aggregated, anonymized analytics (which will not identify you or your organization)
• Comply with legal obligations

7.3 Data Security

7.4 Data Export

You may export your User Data at any time during your subscription. Upon termination of your account, we will provide a reasonable period (30 days) for you to export your data before deletion.

7.5 Financial Data Disclaimer

Your financial data within the Service is for informational purposes only. Traq Money does not guarantee the accuracy of currency conversion rates, calculations, or any financial projections. You should verify all financial information independently.

8. Payment Terms

8.1 Subscription Plans

Traq Money offers multiple subscription tiers, including a free tier and paid plans with enhanced features. Specific pricing details and plan features will be available at launch. Join the waitlist to receive pricing information and early access benefits.

Pricing is subject to change. We will provide at least 30 days notice before any price increases take effect for existing subscribers.

8.2 Billing

• Billing Cycle: Subscriptions are billed monthly in advance
• Payment Methods: We accept major credit cards and other payment methods as displayed during checkout
• Automatic Renewal: Paid subscriptions automatically renew unless cancelled before the renewal date
• Currency: Pricing will be communicated at the time of service launch

8.3 Refunds

Our refund policy will be clearly communicated at the time of purchase. Refund terms will comply with applicable consumer protection laws in your jurisdiction.

8.4 Failed Payments

If a payment fails, we will attempt to process the payment again and notify you via email. If payment continues to fail, we may suspend your access to paid features until the payment issue is resolved.

8.5 Taxes

Prices displayed do not include applicable taxes. You are responsible for paying any applicable taxes, including VAT, sales tax, or other taxes based on your location.

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide 99.9% uptime for our Service. However, we do not guarantee that the Service will be uninterrupted, error-free, or secure at all times. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Circumstances beyond our reasonable control (force majeure)

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively impact your use of the Service, we will provide at least 30 days advance notice.

9.3 Feature Changes

We continuously improve our Service and may add, modify, or remove features. We will notify you of significant feature changes through our website, email, or in-app notifications.

10. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications ("Third-Party Services"). Your use of Third-Party Services is subject to their respective terms and privacy policies.

We do not endorse, control, or assume responsibility for any Third-Party Services. You acknowledge and agree that we are not responsible or liable for any loss or damage caused by your use of or reliance on Third-Party Services.

11. Disclaimers

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of the Service or any information provided
• Warranties that the Service will meet your requirements or expectations
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy of currency conversion rates or financial calculations

The Service is a budget management tool and should not be relied upon for financial, tax, or investment advice. You should consult qualified professionals for financial and tax matters.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill.
• Liability Cap: Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
• Exceptions: These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

13. Indemnification

You agree to indemnify, defend, and hold harmless Traq Money and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property rights
• Any content or data you submit to the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings (when available)
• Contacting us at support@traq.money

Upon termination, you will have 30 days to export your data before it is deleted.

14.2 Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

• You breach these Terms or any applicable policies
• You engage in fraudulent, illegal, or abusive activities
• Your account has been inactive for an extended period (12+ months for free accounts)
• We are required to do so by law
• We decide to discontinue the Service (with 90 days notice)

14.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• All licenses granted to you will terminate
• You remain responsible for any outstanding payment obligations
• Sections of these Terms that by their nature should survive will remain in effect (e.g., intellectual property, disclaimers, limitation of liability, indemnification)

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@traq.money and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, unless otherwise agreed by the parties.

15.4 Class Action Waiver

YOU AND TRAQ MONEY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.5 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15.6 European Union Users

If you are located in the European Union, you may also be entitled to submit disputes to the online dispute resolution platform operated by the European Commission at https://ec.europa.eu/consumers/odr.

16. Changes to Terms

We may modify these Terms at any time at our sole discretion. When we make changes:

• We will update the "Last Updated" date at the top of these Terms
• For material changes, we will notify you via email (if you have an account) or by posting a prominent notice on our website at least 30 days before the changes take effect
• Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes

If you do not agree to the revised Terms, you must stop using the Service before the changes take effect. You may terminate your account as described in Section 14.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Traq Money regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Traq Money.

17.7 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.

17.9 Language

These Terms are written in English. Any translated version is provided for convenience only. In case of conflict, the English version shall prevail.
